These Terms of Service govern your access to and use of Asmbly and Asmbly Planner. By signing up, accessing a trial, or using the platform, you agree to these terms. If you are using Asmbly on behalf of a school or organization, you represent that you have authority to bind that entity.

1. Agreement To Terms

These Terms of Service ('Terms') constitute a binding legal agreement between you ('User', 'Teacher', or 'Organization') and Asmbly Education ('Asmbly', 'we', 'us'). By creating an account, beginning a free trial, or subscribing to Asmbly Planner, you agree to be bound by these Terms.

2. Description Of Service

Asmbly provides cloud-based education software including curriculum pacing, lesson planning, timetable scheduling, printable assessment generation, attendance tracking, and AI-assisted classroom tools. The service is provided via online access at asmbly.space and planner.asmbly.space.

Asmbly supports teachers and schools, but it does not replace professional educator judgment, school policies, curriculum board standards, or statutory safeguarding requirements. Educators remain responsible for reviewing content before classroom use.

3. Accounts And Security

You must provide accurate account information and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@asmbly.space if you suspect unauthorized access.

4. Subscriptions, Trials, And Merchant Of Record

Merchant of Record: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries, handles billing disputes, tax compliance, and executes refunds.

1-Month Free Trial: New individual subscribers are eligible for a 1-month (30-day) free trial of Asmbly Planner. Payment details are collected at the start of the trial by Paddle to ensure uninterrupted access, but your payment method will not be charged during the 30-day trial ($0 due today). You can cancel anytime before the end of the trial period through your account settings or by contacting support, and your card will not be billed.

Paid Plans: If not cancelled during the free trial, your subscription automatically transitions to a paid recurring plan at the selected tier: Individual Monthly ($15.00/month) or Individual Annual ($162.00/year, reflecting a 10% discount). Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to renewal.

Taxes: Paddle calculates and remits applicable sales taxes, VAT, and GST based on your billing location.

5. Cancellation And Refund Policy

You can cancel your subscription at any time via the Settings > Billing tab in Asmbly Planner or by emailing support@asmbly.space. Upon cancellation, your access remains active until the end of your current paid billing period.

6. Intellectual Property And Content Rights

You retain all intellectual property rights in the lesson plans, classroom materials, notes, and records you upload or create using Asmbly. You grant Asmbly a limited license to host, format, and display this content solely to deliver the service to you.

Asmbly and its licensors retain all rights, title, and interest in the Asmbly platform, software, design, branding, and proprietary algorithms.

7. Acceptable Use

You agree not to use Asmbly for any unlawful purpose, violate the privacy or rights of learners, attempt to reverse engineer or breach platform security, or upload malicious code. You must not use the platform in violation of Paddle's Acceptable Use Policy.

8. Limitation Of Liability And Disclaimers

Asmbly is provided on an 'as is' and 'as available' basis. To the maximum extent permitted by applicable law, Asmbly disclaims all warranties, express or implied. In no event shall Asmbly or its resellers be liable for indirect, incidental, special, or consequential damages arising from the use of the service.
